Sale Return Policy

Buyer

The Buyer is any individual, institution, distributor or organization purchasing products or services from Labat Asia Private Limited ("Labat Asia").

Warranty

Labat Asia products are supplied with the warranty specified for the applicable product. The warranty is limited to the repair or replacement of defective parts or products at the sole discretion of Labat Asia and does not cover damage resulting from misuse, improper installation, fiddling, unauthorized repairs, accidents, transportation, power fluctuations, environmental conditions and normal wear and tear.

Pricing

Unless otherwise agreed in writing, products shall be invoiced at the prices stated in the applicable quotation or price list in force on the date of dispatch.

Payment

Payment shall be made in accordance with the agreed quotation or invoice. Ownership of the Products shall remain with Labat Asia until full payment has been received.

Delivery

Delivery dates are estimates only and Labat Asia shall not be liable for delays caused by transport providers, customs authorities or events beyond its reasonable control.

Cancellation

Orders may be cancelled only with the prior written approval of Labat Asia. Orders for customized products, products in production, procured materials or dispatched products may not be cancelled. Approved cancellations may be subject to cancellation charges.

Returns

Products may only be returned with prior written authorization (RMA) from Labat Asia. Returns will be accepted only where:

• the product has a verified manufacturing defect;
• the incorrect product was supplied by Labat Asia;
• transit damage is reported within 48 hours of delivery.
• Return is applicable if Field Safety Corrective Action (FSCA) is required.

Installed equipment, customized products, software licenses, activation keys, products used for patient testing, or products damaged due to misuse, unauthorized repair or improper handling are not eligible for return.

Returned products shall be inspected by Labat Asia and the Company's technical findings shall be final. Inspection, testing, freight and related costs for rejected returns shall be borne by the Buyer.

Refunds

Refunds may only be approved where:

• excess payment has been received;
• Labat Asia is unable to supply the ordered product; or
• Labat Asia expressly approves the refund in writing.

Shipping, installation, calibration, training, taxes and payment processing charges are non-refundable.

Customer Responsibilities

The Buyer shall ensure suitable installation conditions, proper electrical supply, operation by trained personnel and compliance with the operating instructions supplied with the product.

Liability

Labat Asia's liability is limited to the repair, replacement or refund of the affected product, at its sole discretion, and shall not exceed the original invoice value of the product. Labat Asia shall not be liable for any indirect, incidental or consequential loss, including loss of profits, business, data or clinical revenue.

Force Majeure

Labat Asia shall not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including natural disasters, governmental actions, transportation delays, shortages of materials, labour disputes or similar events.

Governing Law

These Conditions of Sale shall be governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the competent courts at Mohali, Punjab, India.
